Effectively, a share price decrease represents a loss to shareholders and may suggest trouble for Directors and Officers (D&Os), with the worst-case scenario being a securities class action on the horizon and, hence, a claim under the D&O policy. But is a drop in the share price of a company the result of a director or officer doing something wrong?
